These Terms of Service govern access to Powerloop Solutions, an independent software service for uploading, comparing, analyzing, and consolidating CargoWise workflow XML templates.
Customer Authorization
By uploading files, you represent that you own the files or have all rights, permissions, and authorizations needed to upload them to the service and permit us to process them. You remain responsible for determining whether each upload is permitted by law, contract, NDA, employment policy, CargoWise agreement, customer instruction, or any other obligation that applies to you.
Permitted Use
You may use the service only for lawful internal business purposes and only in accordance with these Terms, the Privacy Policy, any applicable order form, and any Data Processing Addendum between the parties. You are responsible for validating analysis results and generated XML exports before relying on them or importing them into production systems.
Prohibited Uploads and Conduct
You may not upload credentials, malware, data you are not authorized to use, protected health information, payment card data, government identifiers, export-controlled data, or other regulated data unless we have expressly agreed in writing that the service is configured for that data. You may not probe, interfere with, reverse engineer, overload, or misuse the service.
Ownership and Confidentiality
You retain ownership of uploaded files, filenames, generated analysis derived from your files, and consolidated exports. Powerloop Solutions retains ownership of the service, software, workflows, documentation, designs, and related intellectual property.
Each party will protect the other party's confidential information using reasonable care and will use it only to perform under these Terms. Confidentiality obligations survive termination for as long as the information remains confidential.
Data Handling
We process uploaded files only to provide and support the service. We do not sell, publish, reuse, or train AI models on customer uploaded files. We may use disclosed infrastructure providers and subprocessors to host, store, transmit, secure, and support the service. Uploaded files are deleted according to the retention period or deletion instructions described in the Privacy Policy, DPA, order form, or other written agreement.
Business Customer DPA
Business customers that upload personal information or confidential customer data should enter into a separate Data Processing Addendum. If the DPA conflicts with these Terms about processing customer personal data, the DPA controls for that subject.
Billing, Cancellation, and Refunds
Paid subscriptions, payment methods, invoices, renewals, and plan limits are managed through Stripe or another disclosed billing provider. Subscription fees are billed in advance unless stated otherwise. You may cancel according to the process provided in the billing portal or your order form. Fees are non-refundable except where required by law or expressly stated in an applicable order form.
Suspension and Termination
We may suspend or terminate access if you violate these Terms, create security or legal risk, fail to pay fees, or use the service in a way that could harm the service or other customers. You may stop using the service at any time. Termination does not affect accrued payment obligations, confidentiality duties, liability limits, or provisions that by their nature should survive.
Disclaimers and Liability
The service is provided as is and as available, without warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, or error-free results. To the maximum extent permitted by law, Powerloop Solutions will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption.
To the maximum extent permitted by law, our aggregate liability arising from the service is limited to the amounts paid by you for the service during the twelve months before the event giving rise to the claim.
Indemnification
You will defend and indemnify Powerloop Solutions from claims, damages, liabilities, costs, and expenses arising from unauthorized uploads, misuse of the service, violation of these Terms, or your breach of applicable law, contract, NDA, employment policy, CargoWise agreement, or third-party rights.
Governing Law and Disputes
These Terms are governed by the laws stated in your order form or, if no order form applies, the laws of the state where Powerloop Solutions is organized, without regard to conflict-of-law rules. The parties will attempt to resolve disputes informally before filing a claim, except for urgent injunctive relief or collection matters.
